In response to many requests from our members now that the SEC’s Section
16 electronic filing system will be mandatory at the end of the month,
Section16.net and the NASPP have put together a special webcast program to
help you learn the ins and outs of how to file forms 3, 4 and 5 under the
SEC’s new system, including how to address the quirks and flaws in the SEC’s
new filing system.Join these panelists:
- Alan Dye, Partner, Hogan & Hartson and Editor of Section16.net
- Barbara Buisman, Manager, Equity Compensation Plan
Administration, SUPERVALU
- Herb Scholl, Division of Corporation Finance, SEC
- Ron Smith, Section 16 Software Developer
This nuts and bolts program will walk you through what you really
need to know about:
- Preparing and filing forms on the new SEC system, and how filling out
the forms on the SEC’s site can be complicated—and different from the forms
you used to file;
- Obtaining EDGAR filing codes for insiders, and ensuring they are not
“wiped” out;
- Posting the new forms on your corporate Website; and
- The latest glitches and problems that have arisen, and what you can do
to avoid/resolve them
How to access the webcast program: Visit Section16.net or
NASPP.com—and click the link for the webcast. You need either Real
Player or Windows Media to listen to the webcast. In addition, an audio
archive of the webcast will be posted right after the program. If you
are a member of NASPP.com or Section 16.net, you do not need to register
for this program. If you are not a member, we encourage you to take
advantage of a no-risk trial to access the webcast.
What you can do if you can’t access the live program: Please
note that this program is a webcast—we will be answering questions in
the last 30 minutes. If you have a scheduling conflict or have
problems accessing webcasts generally (due to firewalls, etc.), a text
transcript of the program will be posted on NASPP.com and Section16.net
approximately one week after the live webcast.
The Electronic Filing Q&A Discussion Forum: If you haven’t yet
discovered the new Q&A Discussion forum on Section16.net—in which users
are raising real life Section 16 filing problems and where Alan Dye as
well as several experienced filers are sharing their solutions—this
feature is proving invaluable to those right now grappling with the new
filing system. |
